KAMTOUR TERMS OF USE (MASTER AGREEMENT)

0. BINDING AGREEMENT AND ACCEPTANCE

By accessing or using the Korea–America MedTour Association, Ltd. (“KAMTOUR”) website, platform, directory, or any related services (collectively, the “Platform”), you:
  • Acknowledge that you have read and understood these Terms of Use (“Terms”);
  • Agree to be legally bound by them; and
  • Consent to electronic contract formation.

If you do not agree, you must not use the Platform.

Your continued use of the Platform constitutes ongoing acceptance of these Terms.

1. SCOPE AND RELATIONSHIP HIERARCHY TO OTHER POLICIES

These Terms govern your use of:

  • KAMTOUR website and digital platform;
  • E-mail or other electronic communications with KAMTOUR and its representatives;
  • Directory listings (the “KAMTOUR Institutional Network”) and content;
  • The KAMTOUR Verified™ designation;
  • KAMTOUR’s institutional advisory and consulting services;
  • KAMTOUR symposia, institutional convenings, and related programming; and
  • All related services and materials.

These Terms are incorporated with and should be read alongside:

  • Master Disclaimer;
  • The Privacy Policy;
  • The Cookie Policy;
  • The KAMTOUR Verified™ Standards Manual; and
  • The KAMTOUR Verified™ Application and Fee Schedule.

In the event of conflict or inconsistency, these Terms control.

Hierarchy of Governing Documents

These Terms of Use (“Terms”) constitute the primary, controlling, and integrated agreement governing access to and use of the Platform.

The following documents are incorporated by reference and form part of these Terms solely to the extent expressly referenced, accessed, or relied upon in connection with the Platform or any KAMTOUR designation:

  • (a) Master Disclaimer;
  • (b) KAMTOUR Verified™ Standards Manual (the “Standards Manual,” which reflects internal guidelines only and does not create enforceable duties, obligations, or warranties); and
  • (c) Application Materials and Fee Schedule (collectively, “Commercial Materials,” which are provided for informational and transactional purposes only and do not modify legal rights, obligations, or liability allocations).

Order of Precedence

In the event of any conflict, inconsistency, or ambiguity among the Terms and any incorporated document, the following order of precedence shall apply:

For purposes of this provision, a “conflict” includes any inconsistency in terms, obligations, representations, scope, or interpretation, including where any document or policy has not been updated, harmonized, or revised.

For the avoidance of doubt, the Standards Manual, Application Materials, Fee Schedule, and any other guidelines, policies, or materials are non-contractual and do not create any obligation, liability, standard of care, or enforceable rights.

Non-Modification by Subordinate Documents

No document subordinate in priority may modify, override, expand, or create any obligation, liability, representation, warranty, or standard beyond those expressly set forth in these Terms unless:

  • such modification is expressly stated;
  • set forth in a written amendment to these Terms; and
  • executed by a duly authorized officer of KAMTOUR.

Conflict Resolution and Severability

To the extent any provision of a subordinate document is inconsistent with these Terms:

  • such provision shall be deemed automatically modified to the minimum extent necessary to achieve consistency; or
  • if modification is not feasible, such provision shall be deemed severed and of no force or effect, without affecting the validity or enforceability of the remaining provisions.

Updates to Incorporated Documents

KAMTOUR may update or revise any incorporated document at any time, at its sole discretion.

Notwithstanding the foregoing:

  • no such update shall expand KAMTOUR’s obligations or liabilities beyond those expressly set forth in these Terms without the user’s affirmative consent; and
  • continued use of the Platform constitutes acceptance of updates only to the extent they do not materially increase user obligations or KAMTOUR liability.

No Reliance / No Extra-Contractual Obligations

No statements, materials, guidelines, criteria, or descriptions contained in any subordinate document shall:

  • create any duty, standard of care, or obligation;
  • give rise to reliance by any user or third party; or
  • constitute any representation, warranty, or guarantee, except as expressly set forth in these Terms.

Global Non-Reliance

You acknowledge and agree that any and all information, statements, communications, or materials of any kind—whether provided through the Platform or otherwise, including but not limited to website content, directory listings, marketing materials, presentations, emails, correspondence, or verbal communications—are provided solely for general informational purposes. Such materials do not constitute and shall not be deemed to constitute any representation, warranty, advice, endorsement, guarantee, or statement of fact upon which reliance may be placed. You expressly agree that you do not and will not rely on any such information or materials for any decision-making purpose, and that any such reliance would be unreasonable as a matter of law. No such information or materials shall create any duty, obligation, standard of care, or liability on the part of KAMTOUR unless expressly set forth in these Terms in a written agreement executed by an authorized officer of KAMTOUR.

Entire Agreement / Anti-Waiver

These Terms, together with properly incorporated documents as limited herein, constitute the entire agreement between the user and KAMTOUR with respect to the Platform and supersede all prior or contemporaneous communications, representations, or understandings.

No course of dealing, course of performance, usage of trade, or failure or delay in enforcement shall:

  • modify these Terms; or
  • operate as a waiver of any provision or right.

2. NATURE OF KAMTOUR

KAMTOUR is a private, U.S.-based, non-governmental platform that supports bilateral institutional engagement between healthcare organizations in the United States and Korea. KAMTOUR works directly with hospitals, academic medical centers, clinics, research organizations, and supporting healthcare entities.

KAMTOUR does not imply any affiliation with, endorsement by, or association with any government authority.

KAMTOUR is not:

  • A governmental authority or regulatory body;
  • A trade association;
  • An accreditation or certification organization;
  • An endorsement, rating, or recommendation entity; or
  • A patient-facing organization.

KAMTOUR does not provide any guarantee, assurance, or representation regarding the quality, safety, legality, or outcomes of any services, providers, or third parties, whether public or private.

KAMTOUR’s Services

KAMTOUR’s services are provided exclusively to institutions and organizations and consist of three connected functions:

  • Institutional advisory and consulting — KAMTOUR’s primary service, provided directly to institutions navigating cross-border U.S.–Korea engagement, including market entry and expansion strategy, institutional positioning and international presentation, evaluation of potential institutional counterparts, cross-border engagement planning and structuring, and strategic communication for institutional collaboration;
  • Platform infrastructure (KAMTOUR Verified™) — administration of a standardized institutional identity and representation framework that supports consistent presentation of participating organizations; and
  • Symposia and institutional convenings — coordination of structured bilateral forums, meetings, delegations, and programming for cross-border institutional engagement.

Limits on KAMTOUR’s Role

KAMTOUR:

  • Does not provide medical, legal, financial, or professional advice;
  • Does not provide patient-facing services;
  • Does not refer, recruit, place, or coordinate patients;
  • Does not coordinate medical care;
  • Does not act as an agent, broker, intermediary, or representative of any institution, including in institutional transactions, negotiations, communications, or agreements; and
  • Does not establish provider–patient or clinician–patient relationships.

All institutional relationships, transactions, and agreements occur directly between participating organizations.

Use of the Platform does not create any agency, fiduciary, or advisory relationship except as expressly set forth in a written consulting engagement signed by an authorized officer of KAMTOUR. Where KAMTOUR provides institutional advisory and consulting services to a client, the scope, terms, and obligations of that engagement are governed by a separate written agreement and do not modify these Terms.

KAMTOUR does not assume, and expressly disclaims, any duty of care, professional standard, or obligation toward any user, patient, client, or third party except as expressly set forth in a written agreement signed by an authorized officer of KAMTOUR.

No provider–patient, advisor–client, or similar professional relationship is created through use of the Platform.

3. PERMITTED USE

You agree to use the Platform only:

  • For lawful purposes;
  • In compliance with all applicable laws; and
  • Without misrepresentation of identity, credentials, or affiliation.

You may not:

  • Interfere with Platform functionality;
  • Attempt unauthorized access;
  • Use the Platform to mislead or harm others; or
  • Scrape, copy, or commercially exploit content without permission.

4. KAMTOUR VERIFIED™

KAMTOUR Verified™ is the institutional identity and representation review program operated by KAMTOUR. It is defined in and governed by the Disclaimer, the KAMTOUR Verified™ Standards Manual, and the KAMTOUR Verified™ Application and Fee Schedule, each of which is incorporated by reference.

KAMTOUR Verified™:

  • Is a limited, proprietary designation reflecting a structured review of institutional identity and representation based on submitted materials and publicly available information;
  • Is limited to confirmation of institutional authenticity, active operational status, and consistency between submitted and public-facing information;
  • Does not evaluate clinical quality, safety, outcomes, treatment protocols, patient safety systems, provider credentials, malpractice history, or regulatory compliance beyond submitted materials;
  • Does not constitute accreditation, certification, ranking, licensing, clinical endorsement, referral recommendation, or governmental approval;
  • Does not constitute medical or clinical advice or recommendation;
  • Does not involve independent investigation or ongoing monitoring of verified organizations except as expressly agreed in writing; and
  • Is intended for institutional use within the bilateral U.S.–Korea engagement environment and is not a consumer-facing rating, recommendation, or referral system.

Verified organizations may elect optional visibility tiers (Gold and Platinum) under the Standards Manual and Application and Fee Schedule. These tiers relate solely to visibility and presentation within the KAMTOUR Institutional Network and do not affect verification determinations or the standards applied to participating institutions.

Any interpretation of KAMTOUR Verified™ inconsistent with the Disclaimer, the Standards Manual, or this Section 4 is expressly disclaimed.

5. INTELLECTUAL PROPERTY AND TRADEMARKS

All Platform content—including text, graphics, branding, and materials—is owned by or licensed to KAMTOUR.

KAMTOUR Verified™, KAMTOUR Verified Healthcare Provider™, KAMTOUR Verified Healthcare Facilitator™, KAMTOUR Verified Wellness Hospitality Partner™, and the KAMTOUR Verified™ Certificate, Badge, and related marks are protected designations of KAMTOUR.

You may not:

  • Use KAMTOUR trademarks, marks, badges, or certificates without prior written authorization;
  • Misrepresent verification status or the scope of KAMTOUR’s review;
  • Imply KAMTOUR clinical endorsement, treatment superiority, guaranteed outcomes, accreditation, certification, ranking, licensing, or governmental approval; or
  • Suggest endorsement or affiliation without prior written approval.

Badge use is limited, revocable, non-transferable, and subject to KAMTOUR’s badge usage policies. Badge use must immediately cease upon expiration, suspension, or revocation of KAMTOUR Verified™ status.

KAMTOUR reserves the right to:

  • Revoke use of its marks at any time;
  • Require correction of misleading statements or removal of any misleading use of its badge, certificate, marks, or program references; and
  • Enforce its intellectual property rights.

6. ADVERTISING, SPONSORED CONTENT, AND OPTIONAL VISIBILITY TIERS

The Platform may include advertising, sponsored content, and paid promotional placements. All such content is clearly identified.

Advertising, sponsorship, paid promotional arrangements, optional visibility tier participation, and engagement of KAMTOUR’s institutional advisory and consulting services do not influence KAMTOUR Verified™ eligibility, review processes, criteria, determinations, or outcomes. Verification status is determined by uniform criteria applied consistently to all applicants.

Inclusion in the KAMTOUR Institutional Network, whether at base level or under an optional visibility tier, does not imply ranking, accreditation, certification, endorsement, recommendation, or comparative evaluation.

KAMTOUR may offer paid promotional features and optional visibility tiers, including enhanced visibility, featured placement, or upgraded listing status (e.g., Gold or Platinum). Such features affect only the presentation, visibility, or prominence of listings within the KAMTOUR environment and do not represent or imply higher clinical quality or performance, enhanced or superior verification status, preferential evaluation or prioritization, or endorsement, recommendation, or comparative ranking.

Any fees associated with KAMTOUR Verified™ applications are administrative fees for review and processing only and are not payments for advertising, sponsorship, endorsement, or preferential treatment.

Advertisers, sponsors, and listed entities are solely responsible for the accuracy of their claims and for compliance with applicable laws and regulations.

7. THIRD-PARTY CONTENT AND SERVICES

The Platform may link to or include third-party services, including external links to institutional websites of organizations listed in the KAMTOUR Institutional Network.

KAMTOUR:

  • Does not control or endorse third-party content;
  • Is not responsible for third-party services or outcomes;
  • Has no liability arising from third-party interactions;
  • Has no obligation to update, correct, or maintain any third-party content; and
  • May rely entirely on third-party submissions and undertakes no independent verification or ongoing monitoring beyond the limited scope of the KAMTOUR Verified™ review.

All interactions with external institutions occur independently and are subject to their respective terms and policies.

8. USER RESPONSIBILITIES

You are solely responsible for:

  • Conducting your own independent due diligence and institutional review;
  • Evaluating providers, counterparts, and institutions independently;
  • Verifying credentials, licensure, and qualifications;
  • Seeking appropriate professional advice; and
  • Making your own healthcare, business, and institutional decisions.

You agree that you do not rely on KAMTOUR for decision-making.

Any reliance on the Platform, on any KAMTOUR designation, or on inclusion in the KAMTOUR Institutional Network is solely at your own risk and is deemed unreasonable as a matter of law.

9. DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available.”

KAMTOUR expressly disclaims all warranties, including:

  • Accuracy;
  • Completeness;
  • Reliability;
  • Fitness for a particular purpose; and
  • Non-infringement.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, KAMTOUR shall have no liability whatsoever, whether in contract, tort, negligence, strict liability, or otherwise.

KAMTOUR shall not be liable for any:

  • Indirect damages;
  • Incidental damages;
  • Consequential damages;
  • Special or punitive damages; or
  • Loss of profits, data, or business opportunities.

Maximum Liability Cap: KAMTOUR’s total liability shall not exceed the greater of $0 or the amount paid (if any) by you to KAMTOUR in the preceding 12 months.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless KAMTOUR and its officers, directors, affiliates, and agents from any claims arising out of:

  • Your use of the Platform;
  • Your violation of these Terms;
  • Your misrepresentation or misuse of information; and
  • Any third-party claims related to your actions.

12. TERMINATION AND SUSPENSION

KAMTOUR may, at its sole discretion:

  • Suspend or terminate access;
  • Remove listings from the KAMTOUR Institutional Network;
  • Suspend or revoke KAMTOUR Verified™ status; and
  • Modify, adjust, or discontinue optional visibility features or program participation.

At any time, with or without notice, and without liability.

Material misrepresentation by an applicant or verified organization, or failure to disclose significant changes, may result in suspension or revocation.

13. DISPUTE RESOLUTION (DELAWARE – ARBITRATION)

Any dispute shall be resolved as follows:

A. Informal Resolution

Parties will first attempt good-faith resolution.

B. Binding Arbitration

If unresolved:

  • Arbitration administered by the American Arbitration Association (AAA);
  • Location: Delaware, USA; and
  • Governing law: Delaware.

C. Class Action Waiver

All disputes must be brought individually.

No:

  • Class actions;
  • Collective proceedings; or
  • Representative claims.

D. Court Fallback

If arbitration is deemed unenforceable:

  • Exclusive jurisdiction: Delaware state or federal courts.

14. ELECTRONIC COMMUNICATIONS

You consent to receive communications electronically, including:

  • Notices;
  • Policy updates; and
  • Disclosures.

Such communications satisfy legal requirements.

KAMTOUR is an interactive computer service provider within the meaning of 47 U.S.C. §230 and does not create or develop third-party content.

15. CHANGES TO TERMS

KAMTOUR may update these Terms at any time.

Continued use constitutes acceptance of revised Terms.

16. PLAIN-LANGUAGE SUMMARY

  • KAMTOUR is a private, U.S.-based platform supporting bilateral institutional engagement between U.S. and Korean healthcare organizations;
  • KAMTOUR is not a regulator, accreditor, certification body, trade association, or patient-facing organization;
  • KAMTOUR provides institutional advisory and consulting services, the KAMTOUR Verified™ identity and representation framework, and symposia and institutional convenings—all directly to institutions;
  • KAMTOUR does not refer, recruit, place, or coordinate patients, and does not act as an intermediary, broker, or representative in institutional transactions;
  • Information provided through the Platform is informational only;
  • KAMTOUR Verified™ is limited to institutional identity and representation review and is not accreditation, certification, ranking, licensing, or endorsement;
  • Optional visibility tiers (Gold and Platinum) affect presentation only and do not influence verification; and
  • Users make independent decisions based on their own due diligence.
